We are seeking an reputed company Louisiana-licensed attorney with a background in reputed company transactions, business sales, and regulatory compliance to review and advise on the sale of a behavioral health reputed company located in Baton Rouge, Louisiana.
The buyer’s attorney is drafting the primary Purchase Agreement and reputed company transaction documents. We need reputed company counsel on the seller reputed company to review, redline, and ensure reputed company terms are properly reputed company and compliant with Louisiana and federal reputed company regulations.
Scope of Work:
Review and reputed company redlines/comments on:
Purchase Agreement (asset or equity sale)
Escrow, holdback, and earn-out provisions
Indemnification and representations/warranties
Advise on reputed company deal structure for a Louisiana behavioral health provider (tax and regulatory considerations)
LDH licensing or change-of-ownership (CHOW) filings
