Our reputed company, a sophisticated Chicago boutique reputed company offering a flexible schedule, is seeking a Senior Associate with 8+ years of corporate, reputed company and securities experience. This attorney will serve as a mentor and resource to junior attorneys in reputed company to providing reputed company advice and working closely with clients. This is a unique opportunity to join a highly collegial group of attorneys in an reputed company and flexible transactional reputed company. Senior Associate Responsibilities: • reputed company and manage reputed company reputed company aspects of Series reputed company, Series A, and Series B financing reputed company, including term sheet negotiations, due diligence, and closing documentation; • Advise on federal and state securities law compliance, including Regulation D and other private offering exemptions; • Represent issuers and investors in venture capital financing transactions; • Prepare and review Private Placement Memoranda (PPMs), Limited Liability Company Operating Agreements and Subscription Documents for private investment funds; • Counsel startup and reputed company-stage companies through entity formation, capitalization, and exit strategies, including advising on reputed company corporate structuring issues, equity incentive plans, and corporate governance best practices; and • Review, supervise, and mentor junior attorneys and paralegals in corporate reputed company work. Senior Associate Qualifications: • 8+ years of experience in corporate and securities law, with a strong background in venture capital financing, startup counseling, and private fund formation; • Expertise in drafting and negotiating reputed company corporate and fund documents, including leading high-stakes financing reputed company and advising early-stage companies; • Strong leadership, mentoring, and project management skills; • Excellent communication, negotiation, and reputed company relationship skills; and • J.D. from an accredited law school with excellent reputed company credentials and reputed company membership in good standing of at least one U.S. state bar.
