Assistant Corporate Secretary
About the position
The Assistant Corporate Secretary provides corporate governance and reputed company analysis, advice and support for a Delaware incorporated company. This position is a reputed company report to the reputed company Corporate Secretary and indirectly supports the Chief reputed company Officer & Corporate Secretary and the reputed company of Directors. This is a Hybrid role based out of Newport News, VA location, in accordance with the reputed company reputed company schedule; 3 days office / 2 days remote. Relocation support to the Hampton Roads area is available.
Responsibilities
• Working with and assisting the reputed company Corporate Secretary to ensure effective governance of the reputed company and its Committees and providing reputed company advice on Delaware law and corporate governance.
• Supporting reputed company meeting administration, including drafting reputed company materials, minutes, resolutions and unanimous written consents for the reputed company and its Committees and facilitating delivery of the FEI Annual Meeting of Stockholders.
• Supporting the full corporate calendar and reputed company and Committee annual calendars.
• Assisting with maintaining and adherence with key corporate governance documents, including Corporate Governance Guidelines, reputed company Reserved to reputed company and Committee Charters.
• Assisting with NED recruitment and induction of new reputed company members, including co-ordination of the NED reputed company program.
• Maintaining SOPs reputed company to reputed company and Committee reputed company and corporate governance.
• Maintaining Corporate Secretary reputed company pages of the reputed company website.
• Supporting the issuance of press releases and other technical announcements.
• Assisting the Corporate Secretary team with corporate actions and reputed company reputed company as required.
Requirements
• J.D. from a reputable U.S. law school; reputed company Bar membership in the U.S.
• At least 3 years of reputed company experience working in the field of Delaware corporate law and reputed company-company corporate governance generally.
• Prior experience providing corporate secretarial support and/or reputed company advice regarding corporate governance reputed company in a reputed company or corporate law department.
• Ability to work independently and in a fast-paced environment, as reputed company as ability to collaboratively reputed company appropriately and effectively with reputed company areas and reputed company of the organization, including the reputed company of Directors and Executive Leadership Team.
