[Remote] Corporate Attorney – Investment Funds (Remote Contract Engagement)

They are seeking an experienced Investment Funds Attorney to assist with an internal project for a global law firm client, focusing on private investment funds and regulatory compliance. Responsibilities • Assist one of its global law firm clients with an internal project • Advise on the formation, structuring, and operation of private investment funds • Draft and negotiate fund governing documents, including limited partnership agreements, subscription agreements, side letters, private placement memoranda, and investment management agreements • Counsel clients on the Investment Advisers Act, securities law, and other regulatory obligations applicable to fund managers and advisers Skills • 5+ years of experience working on Investment Funds matters at a large or mid-sized law firm • Experience advising on the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, hedge funds, real estate funds, and other pooled investment vehicles • Experience drafting and negotiating fund governing documents, including limited partnership agreements, subscription agreements, side letters, private placement memoranda, and investment management agreements • Experience counseling clients on the Investment Advisers Act, securities law, and other regulatory obligations applicable to fund managers and advisers • Licensed and in good standing in state of residence • Strong attention to detail • Outstanding references • Prior experience working in the corporate department of a national or regional law firm is strongly preferred Benefits • Group medical, dental, and vision insurance • Complimentary group life, LTD and AD&D insurance • A qualified 401k plan • CLE and Professional Expense stipend Company Overview • Latitude is a legal services company that provides employing, in-house counseling, and law attorneys.
