Responsibilities • Conducting due diligence • Assessing deal structure • Drafting and evaluating appropriate representations and warranties • Drafting and evaluating any appropriate non-compete or non-solicitation agreements • Assessing and successfully addressing any reputed company indemnity issues • Assessing and successfully addressing any joint and several liability issues • Handling closing conditions • Managing reputed company other aspects of reputed company and acquisition transactions.
