Fractional CFO – Debt Capital Formation ($10M Working Capital + $50M Growth Debt)
We are seeking a seasoned Fractional CFO to lead and execute debt capital formation for a cross-border operations company with activities in emerging markets and the United States.
This role is exclusively focused on debt execution, not equity fundraising, valuation work, or operational restructuring.
The immediate mandate is to close a $10M senior working-capital debt facility, followed by preparation and execution of a $50M growth-capital debt raise. Speed, precision, and lender credibility are critical.
Core Responsibilities
Lead execution of a $10M working capital debt facility
Prepare and execute a $50M growth-capital debt financing
Own lender diligence, Q&A, and financial disclosures
Defend and explain:
DSCR calculations
Covenant structures
Security packages
Use-of-proceeds logic
Manage lender data rooms and financial narratives
Support credit committee discussions and term-sheet negotiations
Coordinate cross-border OpCo / HoldCo financial structures
Drive transactions to fast close with private credit and infrastructure lenders
Required Background (Non-Negotiable)
Demonstrated experience closing debt financings
(Equity-only backgrounds will not be considered)
Hands-on experience with:
Working-capital facilities
Private credit / infrastructure debt
DSCR, covenants, and security packages
Cross-border OpCo / HoldCo structures
Prior interaction with:
Private credit funds
Infrastructure lenders
Emerging-market debt providers
Proven experience raising capital for emerging market projects
Strong, active relationships with private lenders (prerequisite)

Comfortable operating in lender-driven environments
Able to respond quickly and precisely during diligence
Focused on execution and close, not re-modeling or theory
Confident navigating complex financial and regulatory landscapes
Engagement Details
Type: Fractional / Contract
Time Commitment: 10–20 hours per week
Duration: 60–90 days (with potential extension)
Compensation: Competitive monthly retainer
