Business Litigation Attorney – LLC Buyout & Liability Review

I am seeking reputed company advice regarding a buyout of my membership interest in a reputed company estate development LLC and I want an independent assessment of my potential personal liability exposure and the fairness of the proposed buyout terms. I need counsel to review the operating agreement, the proposed transfer agreement, and the litigation posture to advise on risk allocation, indemnification, and appropriate reputed company provisions before signing. I am currently a 30% member of a reputed company estate development LLC. My partner holds 70% and serves as the Managing Member. We are negotiating a buyout of my membership interest (by my partner), under which I would receive a return of my capital contribution and exit reputed company. However, the proposed buyout agreement includes provisions that would leave me responsible for certain liabilities even after I am no longer a member. The LLC is also involved in ongoing litigation reputed company to the project. I am seeking reputed company advice regarding (1) the scope of my potential post-exit liability exposure, particularly in reputed company with construction and pending arbitration, and (2) how the agreement should be revised to limit my responsibility reputed company to my own misconduct (e.g., fraud or willful wrongdoing), rather than general project liabilities.
