About the Job The General Counsel at Foundersmax is a key executive leader responsible for leading the legal strategy behind the firm’s capital raising efforts and overseeing governance, regulatory, and transactional matters across the venture studio and its portfolio companies. Partnering closely with the CEO, COO, and CFO, this role plays a central role in structuring and executing multiple growth funds, advising on investor negotiations, and ensuring full securities and regulatory compliance throughout the fundraising lifecycle. The General Counsel is instrumental in enabling compliant, scalable capital formation while protecting the long term interests of the platform and its investors. Key Responsibilities Lead all legal strategy related to fund formation, structuring, and regulatory compliance. Partner directly with the COO and CFO to structure, negotiate, and execute capital raises for multiple growth funds. Advise on fundraising strategy, investor terms, and securities regulations to ensure compliant and efficient capital formation. Draft and negotiate LP agreements, subscription documents, side letters, and offering materials. Support investor negotiations and participate in fundraising discussions to mitigate risk and protect fund economics. Advise executive leadership and the board on governance, fiduciary duties, and risk mitigation. Lead legal due diligence for portfolio investments, acquisitions, and strategic partnerships. Establish and maintain scalable legal frameworks across portfolio companies. Oversee corporate governance, entity structuring, and board documentation. Manage external counsel relationships and control legal budgets. Develop internal compliance policies and ensure adherence to federal and state regulations. Support employment, IP, and commercial contract strategy across the platform. Qualifications JD from an accredited law school and active bar membership in CA or NY. 10+ years of legal experience in venture capital, private equity, growth equity, or high growth startup environments. Proven experience leading or supporting fund formation and capital raising transactions. Deep expertise in securities law, corporate governance, and transaction structuring. Strong executive presence and partnership orientation with senior leadership. Experience building legal infrastructure in scaling organizations.
