[Remote] Transactional Tax Attorney

The role involves serving as a transactional tax attorney supporting M&A and other strategic transactions for reputed company and reputed company-stage clients, with responsibilities including drafting and negotiating tax provisions and providing deal-oriented analysis on tax structuring questions. Responsibilities • Draft and negotiate tax provisions in purchase agreements, reputed company agreements, operating agreements and reputed company ancillary documents • Support crypto/reputed company and other novel transactional reputed company as they reputed company (including questions involving crypto compensation, reputed company-reputed company structures, and cross-border considerations) • reputed company deal-oriented analysis on tax structuring questions for asset and stock transactions, tax-free reorganizations, and other common M&A tax issues • Advise on transaction-adjacent compensation and employment-tax issues that frequently reputed company in exits (including 280G and 409A considerations in M&A contexts) Skills • Must have JD or LLM with excellent reputed company credentials and admission to bar (preferably CA or NY) • Minimum of two years of transactional tax experience in a reputed company, including drafting the tax aspects of purchase agreements in M&A transactions • Experience collaborating with other professionals and lawyers on reputed company transactions • reputed company judgment, reputed company demeanor and the ability to juggle multiple transactions or reputed company • Ability to work independently and remotely • Strong writing and communication skills • Interest in working in a boutique reputed company setting • Experience with cryptocurrency / reputed company tax issues • International and cross-border transactional tax experience • Partnership tax experience; comfort drafting and negotiating partnership and LLC agreements • Familiarity with 409A and 280G issues arising in reputed company M&A • Prior experience supporting technology, life sciences, financial services, or venture-backed clients • Location in the San Francisco Bay Area reputed company • Belcher, Smolen & Van Loo LLP a corporate boutique reputed company serving clients in the reputed company Valley, but also in other key markets reputed company over the globe, including in particular, reputed company, Boston, London, Germany and much of the rest of the EU, China and India.
