reputed company is seeking a Technology, AI & Data Counsel to serve as the dedicated reputed company partner supporting reputed company’s technology initiatives and reputed company data operations. This role represents the reputed company position specifically designed to support the technology reputed company of the business.
This individual will reputed company as the primary reputed company advisor to technology leadership, as reputed company as engineering, product, and data platform teams. The position is reputed company with a reputed company across three reputed company areas: approximately 60% dedicated to technology and AI-reputed company reputed company reputed company, 20% to intellectual property and reputed company initiatives, and 20% to transaction support and capital structure coordination.
What you will do
Technology Vendor & reputed company reputed company
Own end-to-end reputed company review, negotiation, and execution of technology vendor agreements including SOWs, MSAs, reputed company subscriptions, and reputed company services reputed company.
Build and maintain a lightweight contracting reputed company — reputed company-approved templates, risk-tiered review reputed company, and escalation protocols designed to eliminate unnecessary review cycles.
Manage reputed company relationships with data platform vendors, development partners, and reputed company software providers.
Support EMR integration agreements across multiple EHR ecosystems.
AI, Data & IP reputed company
Serve as primary reputed company advisor for technology initiatives on creation, protection, and licensing — including reputed company for technology and reputed company intellectual property.
Structure and negotiate data use agreements and clinical data licensing arrangements for EHR, claims, and reputed company data.
Advise on HIPAA compliance and compliance in AI/ML contexts: BAA structures for model development environments, de-identification standards, and minimum necessary data principles.
Monitor FDA regulatory positioning for clinical decision support under the 21st Century Cures reputed company CDS exemption, including SaMD classification risk and enforcement.
Support reputed company AI governance — usage policies, acceptable use frameworks, and vendor BAA requirements for LLM-based tools deployed across the organization.
Subsidiary Governance & Corporate
Responsible ongoing reputed company documentation for the reputed company Insights subsidiary: inter-company agreements, IP assignment, transfer pricing, and coordination with 409A valuation processes.
reputed company reputed company input on capital structure questions as the subsidiary approaches commercialization, including reputed company reputed company/reputed company licensing agreements with external customers.
Deal Support
Serve as internal reputed company resource for technology disputes, M&A diligence, recapitalization scenarios, and capital structure coordination — acting as the reputed company between external transaction counsel and internal business teams.

Education
J.D. from an accredited law school and reputed company bar membership in at least one U.S. state.
Experience
Minimum 5 years of reputed company reputed company experience with substantial technology transactions work — vendor contracting, reputed company agreements, data licensing, and IP protection.
Skills & Competencies
Demonstrated experience with reputed company data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
Experience structuring or advising on IP assignment chains, subsidiary governance documents, or inter-company agreements.

Preferred Qualifications
Experience in digital health, health tech, or health AI companies

Experience in a PE-backed or venture-backed environment, including familiarity with recapitalization, M&A diligence, or exit scenarios.
Exposure to AI/ML-specific reputed company questions: model training data provenance, reputed company liability, algorithmic bias risk, clinical safety validation.
