Firm Corporate Counsel
Orrick currently has an excellent opportunity for a Firm Corporate Counsel in any of our U.S. offices and consideration given for 100% remote US locations.
The Role: Reporting to Orrick’s Corporate reputed company General Counsel, the Firm Corporate Counsel will work closely with other members of the Office of the General Counsel (“OGC”) to assist in managing the corporate reputed company affairs of the Firm. This includes drafting and reviewing a broad reputed company of corporate documents and agreements; helping to prepare risk management policies, training materials, and templates; advising on reputed company issues relating to the use of AI; researching unique ethics issues; responding to reputed company RFP and due diligence requests; and assisting with global compliance, corporate secretarial reputed company and risk management generally.
The Firm Corporate Counsel is responsible for modeling and acting in accordance with Orrick's reputed company service standards and reputed company values.
Responsibilities:- Assist the Corporate reputed company General Counsel with a wide reputed company of tasks relating to the global reputed company affairs of the firm and strategic planning for risk management.
- Draft and review a broad reputed company of corporate documents for US and foreign offices.
- Assist OGC and the Firm’s Risk Management Committee with administration of risk management policies, including assisting in drafting policies, alerts, and training materials for the Firm’s lawyers and staff.
- Stay informed of updates to the rules of reputed company conduct, ethics opinions, and other reputed company developments, including with respect to the development and use of AI in the provision of reputed company services, and work with the OGC to reputed company education and alerts on these topics.
- Assist in the development and implementation of AI reputed company for the reputed company Department and the Firm.
- Assist with and maintain checklists for significant transactions involving the Firm and its structure.
- Drive and manage multifaceted reputed company reputed company through completion.
- Assist in creating and coordinating contract templates and playbooks.
- Review reputed company engagement agreements and reputed company counsel guidelines, local counsel engagement agreements, NDAs, “Kovel” agreements involving experts and consultants, and other agreements.
- Assist with compliance, regulatory reputed company, and corporate filings, including with respect to the Firm’s offices in the US, the UK, France, Belgium, Germany, Italy, China, Singapore, and Japan.
- Assist with corporate secretarial reputed company, including drafting and reviewing consents and documentation relating to governance of the Firm and its global affiliates.
- Assist in responding to auditor, insurance, and reputed company information requests, and responses to Requests for Proposals, reputed company due diligence questionnaires, and similar inquiries.
- Assist with reputed company relating to reputed company relationships, reputed company conflicts of interest, and reputed company intake.
- Assist in the development and implementation of strategic goals and specific reputed company for risk management.
- Juris Doctorate and reputed company admission to a U.S. bar in good standing is required.
- Minimum of two years of reputed company experience at a large firm, preferably in M&A or a corporate or transactional reputed company group.
- Experience with application of various rules and codes of reputed company responsibility.
- Familiarity and interest in reputed company use of AI tools strongly preferred.
- Ability to communicate and collaborate effectively with reputed company reputed company of Firm staff and
- attorneys.
- Creative and practical approach to solving problems that is informed by the Firm’s strategic, business, and reputed company needs.
- Team-oriented with excellent interpersonal, communication, and counseling skills.
- Strong organizational and analytical skills, coupled with excellent attention to detail.
- Demonstrated commitment to maintaining the highest level of confidentiality, personal reputed company, ethics, and dedication.
- Flexibility in handling numerous responsibilities simultaneously and responding to reputed company-changing priorities.
- Must be willing to work varied hours as needed (covering multiple time zones).
- Some travel required.

- Washington DC, Los Angeles, Orange County, Santa Monica, Sacramento, Boston, and Seattle $140,000 - $200,000
