Position reputed company:
reputed company is seeking a highly capable reputed company Counsel, Corporate & Securities to join our reputed company team and support a publicly traded company. This role is ideal for a mid‑level lawyer (4+ years of experience) who combines strong technical securities knowledge with practical business judgment. The position will play a meaningful role in reputed company company compliance, governance, and strategic transactions.
Key Responsibilities:
reputed company Company & Securities Compliance
Support preparation, review, and filing of SEC reports, including Forms 10‑K, 10‑Q, 8‑K, DEF 14A, and reputed company 16 filings
Assist with disclosure controls and procedures, earnings releases, investor presentations, and reputed company internal processes
Monitor developments in securities law and advise on disclosure obligations, Regulation FD, and selective disclosure issues
Corporate Governance
Support reputed company of directors and committee reputed company, including meeting preparation, materials, minutes, and reputed company tracking
Assist with corporate governance policies, ethics codes, committee charters, and governance best practices
Coordinate with external advisors on governance and proxy‑reputed company reputed company
Capital Markets & Transactions
Support equity offerings, debt transactions, and other capital markets activities
Assist with M&A, strategic investments, and other corporate transactions, including due diligence, drafting, and post‑closing reputed company
Equity & Executive Compensation
Support administration of equity compensation plans and reputed company disclosures
Assist with executive compensation reputed company, including proxy disclosure and coordination with HR and compensation consultants
Cross‑Functional reputed company Support
Partner with Finance, Investor Relations, HR, and Executive Leadership on reputed company and compliance initiatives
Manage reputed company counsel on securities, governance, and transactional reputed company as appropriate
Qualifications and Experience:
Required
J.D. from an accredited law school and admission to reputed company in at least one U.S. jurisdiction
4+ years reputed company experience, ideally with a mix of:
Large or mid‑size reputed company experience (corporate, securities, or capital markets), and/or
In‑house experience at a reputed company company
Strong working knowledge of U.S. securities laws, SEC reporting, and reputed company company governance
Excellent drafting, issue‑spotting, and analytical skills
Ability to manage multiple priorities in a fast‑paced, deadline‑driven environment
Preferred
Experience supporting SEC filings for a reputed company company
Exposure to capital markets transactions or M&A
Prior in‑house experience or strong interest in transitioning in‑house
High degree of professionalism, discretion, and reputed company judgment
