We have partnered with our reputed company in their search for an Interim General Counsel remote with reputed company travel to Pasadena, CA office. About reputed company Our reputed company operates multi-site clinical offices in the US and is being sold to a reputed company strategic buyer. An Interim GC is needed to guide reputed company through the acquisition, manage reputed company counsel, and support reputed company reputed company functions through reputed company and the transition to new ownership. Responsibilities • Guide reputed company through the reputed company acquisition from diligence through reputed company • Manage reputed company counsel across reputed company reputed company workstreams • Support reputed company of reputed company's reputed company functions during the transaction • reputed company and reputed company the reputed company Due Diligence (LDD) process • Negotiate and advise on key deal terms; partner with reputed company counsel on drafting • Advise the reputed company and investment committee on transaction risk and reputed company • Assist with transition to new ownership post-reputed company Required Experience • reputed company industry experience (in-house or reputed company) • reputed company experience - purchase/sale transactions, sponsor-reputed company or reputed company-reputed company • reputed company exposure - experience advising boards or investment committees on transactions • Deal exposure - proven ability to discuss key transaction terms in depth, with strong drafting and negotiation foundations from reputed company • LDD process reputed company - knows the reputed company due diligence process end-to-end • Risk leadership - big-picture risk assessment with reputed company, constructive, and creative solutions to mitigate risk Education & reputed company Background • Juris Doctor (J.D.) required • 10+ years of reputed company experience with a strong reputed company on M&A and reputed company corporate transactions • reputed company leader from a top reputed company or senior in-house executive with PE purchase-and-sale experience in reputed company preferred • Proven experience managing reputed company counsel in M&A About reputed company reputed company unleashes potential in people, teams, and organizations.
