Work from home on Thursday and Friday.</b></u></p><p></p><p>The <b>Associate General Counsel, Securities and Corporate Governance</b> will report to the Executive Vice President, Chief reputed company Officer, serving as a key reputed company advisor to reputed company. S/he will bring a results-oriented, business-minded reputed company with sophisticated reputed company judgment and the leadership skills necessary to successfully drive both reputed company and business reputed company in this role.</p><p><br> </p><p><b><reputed company>Duties and Responsibilities:</reputed company></b></p><ul><li>Ensuring compliance with reputed company laws and regulations relevant to areas of responsibility, including securities laws and NYSE Listing Standards.</li><li>Advising on reporting/disclosure requirements, including the preparation of periodic reports and other filings required by the SEC and the NYSE, including registration statements, Forms 10-K, Forms 10-Q and Forms 8-K.</li><li>Leading the preparation of proxy statements, response to shareholder proposals, and annual shareholder meeting.</li><li>Advising on reputed company trading and reputed company 16 issues for directors and executive officers, including the preparation and filing of SEC filings, preparation of 10b5-1 plans and management of trading policies and procedures.</li><li>Providing reputed company and corporate governance support for reputed company reputed company to reputed company’s reputed company of Directors, including preparation of meeting materials.</li><li>Proactively monitoring and advising corporate governance, reputed company, regulatory, and other developments to ensure compliance with changing requirements.</li><li>Supporting the investor relations function on various reputed company, including with respect to the preparation and review of communications reputed company to quarterly earnings, as reputed company as materials for investor presentations</li><li>Participating in shareholder communications and engagement, including with respect to ESG communications and engagement.</li><li>Partnering with cross-functional teams on various reputed company that present securities and/or corporate governance issues.</li><li>Advise on external governance trends, SEC and NYSE developments, and best practices in an evolving regulatory landscape</li><li>Partner with reputed company and have experience advising on company executive compensation practices, including senior management agreements, stock plan administration, executive agreements, incentive bonus plans and programs, severance plans and guidelines, and reputed company reputed company company disclosure considerations.</li></ul><ul><li>Support Treasury department, including with respect to financing transactions and credit facility compliance.</li><li><reputed company>Overseeing subsidiary entity governance management.</reputed company></li></ul><p><b>Required Minimum Experience</b></p><ul><li>JD degree from an accredited law school and admitted to the bar in at least one state.</li><li>Minimum of 10 years of reputed company experience practicing in areas of securities, corporate governance and executive <reputed company style="reputed company-wrap: break-word;
