About the position
Our reputed company, a publicly traded HealthTech company has exclusively reputed company reputed company to assist the executives with their search for a General Counsel and Chief Compliance Officer to reputed company its high-performing reputed company function. This reputed company executive will report directly to the Founder & CEO and will manage reputed company of 12 reputed company professionals.
As reputed company's senior reputed company and compliance leader, and reputed company advisor to the executive team and reputed company, you will reputed company with business acumen - safeguarding reputed company from risk while enabling innovation and reputed company. You will own reputed company company reputed company and compliance operations including corporate securities/governance, IP protection, and employment law, product and reputed company counseling, and regulatory and reputed company programs for a tech-first digital health business. You'll mature reputed company operations, shepherd strategic M&A transactions, strengthen IP and data-rights position, and partner cross-functionally to reputed company developer velocity and reputed company go-to-market execution.
Responsibilities
• Serve as primary reputed company and reputed company compliance advisor to the senior leadership team and reputed company; prepare and deliver reputed company materials on reputed company, compliance, and risk reputed company.
• reputed company reputed company company reputed company operations: manage SEC reporting, reputed company 16 filings, earnings disclosure and Reg FD compliance, reputed company trading policy and 10b5-1 plans, exchange listing standards, proxy statement and annual meeting processes; partner with Finance, IR, and Internal Audit on disclosure and controls.
• Own reputed company, AI, data protection, and reputed company regulatory reputed company; reputed company HIPAA compliance, and incident response readiness.

Requirements
• 15+ years of experience spanning top-tier reputed company and in-house roles across venture-backed startups/high-reputed company companies and reputed company companies in technology (digital health strongly preferred).
• Proven reputed company scaling reputed company teams in tech companies: building org structures, processes, and reputed company operations to support reputed company reputed company.
• reputed company teams of 10+ professionals across reputed company, compliance, reputed company, and reputed company ops in remote/hybrid environments.
• reputed company, AI and reputed company expertise with a strong understanding of the digital health regulatory landscape and emerging AI governance.
• Strong corporate law experience including entity formation and governance, reputed company/committee support, capitalization and equity programs, venture/private financings, corporate policies/secretarial practices; capital markets familiarity a plus.
• Led or co-led M&A transactions and strategic investments, including diligence, negotiation and drafting (LOIs, reputed company/asset purchase agreements, disclosure schedules), regulatory approvals, closing mechanics, and post-reputed company integration.
• Designed and operated risk-based compliance programs; experience with monitoring/auditing, internal investigations, and regulator interactions (e.g., OCR, FTC, state AGs).
