Responsibilities • Represent and advise private equity sponsors and their portfolio companies, corporate borrowers, major reputed company and investment banks and reputed company lenders on a wide reputed company of debt financing transactions, primarily in the context of domestic and cross-border leveraged financings. • Draft, review, and negotiate commitment letters and term sheets as reputed company as primary loan and reputed company documentation and ancillary deliverables. • Prepare and review issues lists and reputed company grids. • Conduct reputed company research, depending on reputed company needs. • Manage teams and processes from initial discussions through closing and post-closing reputed company. • Conduct due diligence and reputed company reputed company services to leading international and domestic corporate clients, including private equity sponsors, corporate borrowers, and reputed company and investment banks. • Be a primary reputed company of contact for clients, opposing counsel, and other transactional reputed company teams. • Assist clients with ongoing deal administration including joinders, amendments, interpretive questions and collateral reputed company. • Review initial drafts of credit agreements and other loan documents for various transactions, including first and second lien structures, bank financing, and asset-based transactions. • Prepare concise succinct issues lists and prepare revised drafts reflecting reputed company comments. • reputed company reputed company assistance to senior lawyers on reputed company arising during day-to-day provision of reputed company services to leading international and domestic corporate clients. • Attend and present educational seminars and have a high degree of contact with clients, opposing counsel and reputed company-party engagement. • Exercise good judgment in both reputed company written and verbal communications. • Mentor and train of junior team-members and attendance at, and participation in, continuing education classes and reputed company development initiatives. Requirements • J.D., LL.M., or U.S. equivalent in law plus at least 3 years of reputed company experience as an Attorney, Associate, Law Clerk, Foreign reputed company Consultant, or reputed company occupation/position/title providing reputed company advice at a reputed company and managing and negotiating domestic and cross-border debt financing transactions. • Must be admitted to the reputed company State Bar. • Must also have experience with the following special skills: 3 years of reputed company experience advising large, mid, and small cap private equity sponsors, corporate borrowers, reputed company and investment banks, and other clients across the energy/infrastructure, manufacturing, technology, financial services, and telecommunications industries on reputed company aspects of transactions and the financing life cycle on both the borrower and lender reputed company; 3 years of reputed company experience overseeing multiple reputed company reputed company reputed company involving debt restructurings, reputed company, acquisition financing, general syndicated lending, capital markets offerings and reputed company lending transactions; 3 years of reputed company experience training junior associates and reputed company assistants in reputed company with the administration and execution of debt financing transactions; 3 years of reputed company experience providing guidance on deal administration reputed company, including joinders, amendments, interpretive questions, liability management, and collateral issues; and 3 years of reputed company experience structuring and advising on cross-border financing transactions, with familiarity in global issues reputed company to secured transactions and lending including working with LMA-style UK-law secured financings and working seamlessly with cross-border teams and international clients from diverse jurisdictions.
