$55/hour | AI-Forward Transactional Workflow Attorney – U.S. Law Firm Remote | Contract (Independent Contractor) | 30+ hrs/week About the Engagement Rose Law Firm (RLF) is a U.S.-based, AI-forward law firm building a next-generation transactional platform in which artificial intelligence is embedded directly into deal structuring, diligence, drafting, and execution workflows. We are seeking a U.S.-licensed attorney for a long-term independent contractor engagement as an AI-Forward Transactional Workflow Attorney. This role is designed for a lawyer who can operate at an associate-equivalent level while systematically using AI to increase speed, accuracy, consistency, and strategic clarity across sophisticated business transactions. This is not a document production role, template-filling engagement, or AI sandbox. AI usage is mandatory, disciplined, and outcome-driven. Below is polished, drop-in language you can use in both the litigation and transactional posts. I’ve given you (1) a core paragraph that should appear near the top, and (2) optional reinforcement bullets you can place later in the posting if you want to lean harder into thought leadership without sounding promotional or fluffy. This language is calibrated for Upwork’s sophisticated attorney audience—credible, not breathless. ________________________________________ AI Leadership & Institutional Credibility Rose Law Firm is an AI award–winning law firm and nationally recognized thought leader in AI adoption for professional institutions, including law firms, in-house legal departments, and complex organizations operating under regulatory and risk constraints. RLF was selected as a 2025 LexisNexis Global AI Champion Partner, recognizing the firm’s leadership in practical, responsible, and scalable AI deployment inside real legal workflows—not experimentation, marketing, or theoretical use cases. Our work sits at the intersection of: •Legal judgment and professional responsibility • Institutional AI adoption (not individual shortcuts) • Repeatable workflows that improve quality, speed, and predictability We focus on how AI is actually embedded into day-to-day legal execution—pleadings, discovery, deal documents, diligence, strategy, and decision-making—while maintaining rigorous ethical, confidentiality, and quality standards. Contract attorneys working with RLF are not asked to “figure out AI on their own.” They are expected to operate inside a disciplined, firm-wide AI framework designed to elevate legal work at scale. ________________________________________ Independent Contractor — Integrated Lawyer Model (Important) This is a 1099 independent contractor engagement, intentionally structured to allow the contractor to function as a deeply integrated transactional lawyer within RLF’s deal platform, while maintaining contractor independence. What integration means in practice: • You work on live client transactions, not isolated drafting tasks • You collaborate directly with RLF attorneys, deal leads, and project managers • You receive clear scopes, priorities, and success criteria for assignments • Your work product is expected to be attorney-ready or client-ready • You participate in deal calls, internal strategy sessions, and transaction reviews • You use RLF-approved systems, workflows, and AI tools to ensure quality, consistency, and security What independence means in practice: • You remain an independent contractor responsible for your own taxes and benefits • You are paid hourly for approved, substantive legal work • You control how you execute the work within defined objectives and standards • No exclusivity beyond agreed availability and conflict clearance • Engagement may scale based on transaction flow and performance This structure supports high-trust, high-output transactional collaboration without converting the role into traditional employment. ________________________________________ Core Mission To design, execute, and continuously improve AI-enabled transactional workflows that produce: • Faster, cleaner deal execution • Higher-quality drafting with fewer revision cycles • Clearer issue-spotting and risk visibility • More consistent diligence and closing processes • Better client decision-making under time pressure ________________________________________ Required AI-Driven Capabilities (Non-Negotiable) You are expected to use AI as a force multiplier, not a drafting replacement. At a minimum, you must be able to: 1. Deal Structuring & Issue Framing Use AI to analyze deal context, identify structural options, surface risks, and frame key legal and business issues. 2. Contract Drafting & Revision Workflows Use AI to structure, draft, and refine agreements (e.g., commercial contracts, NDAs, service agreements, asset purchase agreements, equity documents), followed by rigorous legal review. 3. Diligence Review & Risk Extraction Leverage AI to review large document sets, summarize findings, flag issues, and map risks to deal terms and remedies. 4. Issue Lists & Deal Trackers Use AI to generate and maintain issue lists, risk matrices, and transaction trackers that drive deal momentum. 5. Comparative Term Analysis Analyze redlines, compare positions, and model alternative language using AI-assisted comparison and pattern recognition. 6. Negotiation Strategy Support Use AI to anticipate counterpositions, pressure-test proposed terms, and generate fallback language. 7. Regulatory & Compliance Spotting Accelerate identification of regulatory, licensing, or compliance issues relevant to the transaction. 8. Closing Checklist & Process Design Design and manage AI-assisted closing checklists, signature packets, and condition tracking. 9. Post-Closing Obligations Mapping Use AI to extract, calendar, and monitor post-closing obligations and covenants. 10. Client-Ready Summaries & Decision Memos Produce concise, decision-ready summaries that synthesize legal risk, options, and tradeoffs. 11. Cross-Deal Pattern Recognition Identify recurring deal issues or negotiation patterns across transactions to improve firm-wide playbooks. 12. Workflow & Template Development Help design reusable AI-assisted templates, checklists, and transactional process maps. AI usage must be repeatable, auditable, and aligned with firm-approved tools and security standards. How RLF Thinks About AI (Important Context) RLF does not treat AI as a drafting shortcut or productivity hack. We treat it as institutional infrastructure. Our approach to AI adoption emphasizes: • Human-in-the-loop legal judgment • Auditability and repeatability of AI-assisted work • Clear boundaries between AI assistance and attorney responsibility • Secure, firm-approved tools and workflows • Continuous improvement through pattern recognition across matters and deals This makes RLF a frequent advisor—not just a service provider—to institutions and legal teams seeking to adopt AI responsibly without compromising quality, ethics, or control. Attorneys who thrive here tend to be those who: • Are intellectually curious but operationally disciplined • Want to practice law at a higher level, not just faster • Care about building systems that compound over time ________________________________________ Engagement Details • Hourly Rate: $55/hour • Hours: 30+ hours per week (ongoing) • Location: U.S.-based attorneys only • Duration: Long-term contract • Start: Immediate for qualified candidates ________________________________________ Firm Environment Rose Law Firm is a nationally distributed, AI-forward law firm and a 2025 LexisNexis Global AI Champion Partner. Contract attorneys working with RLF are expected to: • Use firm-approved AI tools daily • Apply AI to enhance legal judgment, not shortcut it • Contribute to RLF’s evolving library of AI-enabled transactional workflows ________________________________________ Professional Expectations • Work product must meet U.S. law-firm associate standards • Strong drafting, issue-spotting, and risk articulation skills • Clear, professional written and verbal communication • Responsiveness during 7:00 AM – 2:00 PM Pacific Time • Camera-on participation for meetings • Strict confidentiality and data security compliance • Immediate escalation of legal or ethical risks • Openness to direct feedback and continuous improvement ________________________________________ Why This Engagement Is Different This is not a contract mill or document-factory role. It is an opportunity to: • Operate at the intersection of deal strategy and AI-enabled execution • Help define how modern transactions are actually run inside a law firm • Build rare, durable expertise that compounds across industries and deal types The right attorney will not simply draft documents—they will help architect how AI is used to structure and execute transactions.
