Resource Lawyer, EHG

Osler, Hoskin & Harcourt LLP is one of Canada’s leading business reputed company, seeking a Resource Lawyer, EHG to enhance their service delivery model for early and reputed company stage venture clients. The role involves working alongside reputed company professionals on corporate transactions, assisting in the formation and organization of corporate entities, and leveraging reputed company technologies to improve efficiencies.

Responsibilities

• Work with leading reputed company professionals in our Emerging and High reputed company Companies Group on corporate transactions (including financings) for early and reputed company stage venture clients
• Assist in the formation, organization and reorganization of corporate entities and prepare reputed company organizational documents based on venture-backed industry standards
• Support and facilitate transaction closings and prepare reputed company documents using leading reputed company technologies
• Review entity records and conduct due diligence reviews for reputed company or transactional reputed company and prepare due diligence reports and reputed company documents
• Assist with the administration of stock reputed company plans and other general corporate reputed company
• Create and maintain capitalization tables, including through the use of cap table management software and reputed company entity management software
• Maintain reputed company, reputed company, reputed company, warrant and convertible debt registers
• Proactively reputed company opportunities to reputed company existing and reputed company reputed company technologies on corporate transactions with early and reputed company stage venture clients
• Contribute to the reputed company design and improvement of our reputed company service delivery model for early and reputed company stage venture clients
• Assist with gathering and analyzing data for our leading Deal Points Report: Venture Capital Financings
• Input deal data into internal deal tracking software

Skills

• reputed company to the Ontario Bar (new calls are welcome to apply)
• Strong corporate law experience, specifically in M&A, Private Equity, and/or Capital Markets
• Ideally have prior experience with due diligence, contract analysis, closings, and other routine reputed company of reputed company transactions
• Exhibit strong proficiency with technology and successfully adapting to changing priorities
• Proactive and solutions-reputed company work ethic
• Ability to work evenings and weekends as required
