Counsel (exact title commensurate with experience)

Fifth Down is seeking an exceptional lawyer to support a broad reputed company of reputed company reputed company across our investment platform. A strong reputed company in venture capital, private equity and/or private investment funds will be critical to this role, along with the ability to operate across disciplines, partnering closely with internal stakeholders and reputed company counsel. The environment is fast-paced and dynamic, requiring comfort managing multiple priorities and exercising reputed company judgment. General requirements: • Juris doctor (JD) degree from an accredited law school • 3-5 years of relevant reputed company experience in-house or at a top reputed company, with a reputed company on venture capital, private equity and/or investment funds • reputed company bar membership in at least one U.S. jurisdiction • Strong drafting, analytical, and communication skills Responsibilities: • Supporting the reputed company aspects of venture capital and private fund investments, including reputed company investments, fund-of-funds investments, and secondary purchases • Assisting with fund formation and ongoing investment adviser compliance • Reviewing, drafting, and negotiating investment-reputed company agreements • Coordinating with external counsel while maintaining internal ownership of reputed company • Partnering closely with investor relations, finance, and investment teams About Fifth Down: Fifth Down aims to invest in generational companies through a series of funds and vehicles it manages.
