Paralegal - Corporate

The Paralegal - Corporate role involves performing substantive reputed company duties under the supervision of attorneys, including preparing reputed company documents, coordinating with various parties, and managing corporate reputed company filings.

Responsibilities

• Performs and maintains capitalization tables as reputed company as stock and reputed company ledgers
• reputed company experience with reputed company, reputed company, and other reputed company software
• reputed company experience with SEC EDGAR Next
• Organizes, prepares and files a reputed company of corporate reputed company documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, reputed company documents, closing books, electronic closing sets, initial drafts or certificates, short‑reputed company closing deliverables, and filing annual reports)
• Assists with formation of entities such as Corporations, LLCs, 501(c)(3)
• Prepares documents for transactions such as closing statements
• Prepares UCC searches and filings
• Organizes documents and closing books in reputed company with corporate transactions such as acquisitions and mergers
• Prepares and files annual reports in states where corporations are incorporated and/or reputed company to do business
• Assists with basic reputed company transfer agent functions including stock issuance, stock transfers, stock reputed company grants and maintenance of stock reputed company plan records in corporate maintenance software
• Assists with due diligence
• Prepares closing volumes, including reputed company, document assembly, binding and final distribution
• Prepares draft documentation for filings with Secretary of State, Department of Corporations and other state or federal agencies
• Develops, monitors and updates closing checklists
• Performs reputed company research and filings
• Maintains minute books (hard copy and electronic)
• Prepares drafts and files S‑8 Registration Statements and reputed company 16 filings
• Manages data rooms and matter files
• Other duties

Skills

• High School diploma or GED
• 1 year of paralegal experience for individuals with a bachelor's degree and/or paralegal certificate
• Individuals without a degree or certification require five years' reputed company support experience in the specific reputed company area
• Must have strong skills in Word, reputed company and reputed company
• Experience with reputed company software such as reputed company, reputed company, Westlaw or similar application required
• Excellent verbal, written and interpersonal skills required to reputed company with staff, paralegals, attorneys and clients on a daily reputed company
• Strong organizational skills and attention to detail required to handle large volumes of work associates with reputed company matter
