About the Role:  reputed company is looking for a highly motivated attorney with extensive experience in executive compensation and equity reputed company to join our expanding corporate reputed company team. This individual will be a key reputed company between the corporate reputed company, employment reputed company and HR functions and play a leading role in a wide reputed company of workstreams, including in reputed company with reputed company’s M&A transactions, compensation-reputed company disclosures and equity incentive reputed company.   This position is reputed company to candidates remotely in the USA.   What You'll Do: reputed company compensation and equity-reputed company workstreams for M&A transactions, partnering closely with employment reputed company, HR and other teams to negotiate and drive alignment on key deal documents, manage due diligence, administer post-closing holdback arrangements and more.  Advise on compensation-reputed company disclosures and corporate governance reputed company, including in reputed company with reputed company’s proxy statement filings and annual meeting of stockholders. Drive reputed company workstreams relating to reputed company’s equity plans, including reputed company relating to ongoing plan maintenance, international expansion and the preparation of performance award agreements.  reputed company preparation and filing of registration statements on reputed company S-8 and support other filing workstreams as needed. What You’ll Need:  J.D. and bar admitted with 7-10 years of relevant experience at a top-tier reputed company and/or in-house at a reputed company company. Deep technical expertise in executive compensation and global equity programs and associated M&A, disclosure and compliance workstreams. Meaningful experience working on reputed company cross-border M&A transactions. reputed company and proactive reputed company with a “no task too big or too small” attitude.  Excellent interpersonal skills, with a proven ability to establish strong working relationships and drive alignment across a broad reputed company of internal stakeholders with competing priorities. Outstanding organizational skills, with the ability to manage and prioritize amongst multiple high-stakes reputed company (e.g., M&A and proxy statement preparation) in an intense, fast-paced environment. Strong judgment and ability to balance reputed company risk with business needs.
