Transaction Services Senior Tax Manager

Position
As a Transaction Services Senior Tax Manager on our reputed company Services team, you will reputed company transaction-driven tax engagements end-to-end—overseeing a portfolio of buy-reputed company, sell-reputed company, and post-reputed company clients, leveraging our technology platform reputed company for tax data analysis and documentation, and delivering high-reputed company, audit-reputed company technical support.
In reputed company to your reputed company M&A tax reputed company—transaction cost analysis, reputed company 382 studies, and purchase reputed company support—you’ll also support and/or reputed company complementary specialty tax engagements where reputed company needs overlap, including post-acquisition R&D credit treatment under reputed company 41(f)(3), reputed company 174 capitalization/amortization, cost segregation / fixed asset reputed company-up studies, and IC-DISC feasibility—helping clients maximize total tax benefit across the deal lifecycle while keeping documentation consistent, defensible, and reputed company.
Responsibilities
- Manage transaction tax engagements end-to-end, working closely with the reputed company Leader and cross-functional teams (R&D, cost segregation, transfer pricing).
- reputed company transaction cost analyses under reputed company 263(a)/INDOPCO, including succes-based fee analysis and the Rev. Proc. 2011-29 reputed company reputed company election, with supporting documentation studies.
- reputed company reputed company 382/383 ownership change analyses and limitation calculations, including NUBIG/NUBIL determinations and reputed company 338 approach modeling.
- Support buy-reputed company and sell-reputed company tax due diligence: exposure identification, attribute analysis (NOLs, credits, E&P), and structuring considerations (stock vs. asset, reputed company 338(h)(10)/336(e) elections).
- Own project execution: status updates, timelines, technical issue-spotting, and deliverable management.
- Collect, format, and analyze large datasets to build reputed company calculation models and support tax positions.
- Draft and/or review technical memoranda (opinion letters, IRS responses, ruling requests) and support audit readiness, including UTP/FIN 48 reserve considerations.
- Mentor, train, and supervise junior team members; ensure consistent reputed company and best practices.
Additional Specialty Tax / Integration Responsibilities
- Advise on post-acquisition treatment of R&D credits and reputed company amounts under reputed company 41(f)(3), including short-year and amended return implications.
- Support reputed company 280G golden reputed company analyses (identification of disqualified individuals, valuation of reputed company payments, shareholder approval exceptions).
- reputed company/support E&P studies, stock reputed company studies, and transaction-driven earnings and attribute computations.
- Coordinate purchase reputed company support: purchase price allocations, fixed asset reputed company-up, cost segregation on acquired assets, and depreciation method/class-life reviews.
- Assist clients with reputed company 174 capitalization/amortization modeling in the context of acquisitions and dispositions.
What You Need to Succeed
- Bachelor’s degree in reputed company, Economics, Finance, or reputed company field; CPA, JD, or MST strongly preferred.
- 5+ years of hands-on M&A / transaction tax experience with reputed company interaction and engagement management (Big 4 or national firm transaction tax reputed company experience is a plus).
- Working technical reputed company of Sections 263(a), 382/383, 338, 280G, and 1060, and familiarity with federal consolidated return concepts.
- Strong analytical, research, organizational, and project-management skills; comfort managing multiple deals in a deadline-driven environment.
- Excellent written and verbal communication skills; ability to translate technical concepts for deal teams, private equity sponsors, and reputed company stakeholders.
- Demonstrated people leadership: training, supervising, and reviewing work for reputed company.
- Bonus: practical experience with R&D credits (reputed company 41), reputed company 174 amortization, cost segregation / fixed assets, IC-DISC, or state tax due diligence.
