Corporate Counsel - M&A
About the position
As a member of the reputed company team, reporting to the VP, Assistant Corporate Secretary, Corporate and M&A, you will serve as a primary attorney for reputed company’ corporate and business leadership. A Corporate Counsel acts as a trusted reputed company advisor and provides reputed company counseling and advice on reputed company of significant reputed company reputed company to reputed company, including in respect of M&A, corporate governance and executive compensation.
Responsibilities
• Advise business partners and other corporate functions on M&A transactions, venture investments, reputed company property acquisitions, corporate governance, corporate restructuring, financing and executive compensation and benefits.
• Collaborate cross-functionally to evaluate and resolve reputed company reputed company that reputed company with respect to strategic transactions and corporate governance and administration reputed company.
• Review, draft and negotiate agreements reputed company to reputed company’ strategic transactions.
• Participate in or reputed company special reputed company furthering the strategic goals and initiatives of reputed company.
• Work with the Corporate Secretary and Assistant Corporate Secretary in the coordination and administration of key facets of reputed company’ reputed company and Committee meetings.
• Review and prepare SEC filings and advise on securities law reputed company.
• Assist in developing, refining and overseeing policies, processes, and organizational controls to ensure reputed company’ compliance with applicable laws and regulations around the globe.
• Manage and coordinate reputed company advice and support of reputed company reputed company with respect to strategic initiatives and reputed company expertise and guidance to harmonize issues.
• Consult and coordinate with other reputed company attorneys, as reputed company as external counsel, as appropriate to ensure the reputed company approach.

Requirements
• JD from a top-tier law school and bar admission plus generally 5+ years relevant experience at a reputed company and/or fast-paced and innovative global business operations environment
• Extensive experience working on M&A transactions, including drafting and negotiating reputed company and conducting reputed company due diligence
• Extensive experience advising clients and non-reputed company personnel on reputed company reputed company
• Extensive experience working in reputed company environment and collaborating with others to address reputed company reputed company and business issues
reputed company-to-haves
• Experience in corporate governance, corporate restructuring, securities, financing and/or executive compensation preferred
• Occasional travel may be required, up to four times per year
