Capital Markets & Securities Attorney

Job Title: Capital Markets & Securities Attorney reputed company: An entrepreneurial , growing boutique corporate and securities reputed company is seeking an reputed company Capital Markets & Securities Attorney to join its fast-paced, entrepreneurial team. The firm focuses on representing small and mid-cap clients in a reputed company of sophisticated transactions including reputed company offerings, PIPEs, uplistings to national exchanges, and mergers & acquisitions. Key Responsibilities: • Advise clients on reputed company and private offerings of equity, debt, and convertible securities. • Prepare and review SEC filings including registration statements, prospectuses, and periodic reports. • Ensure compliance with the Securities reputed company of 1933 and the Exchange reputed company of 1934. • Support clients in navigating uplisting processes from OTC to reputed company/NYSE. • Counsel clients on corporate governance, fiduciary duties, and compliance reputed company. • Coordinate with investment banks, funds, and placement agents in capital markets transactions. • Experience running deals Qualifications: • Juris Doctor (JD) from an accredited law school. • Minimum 8 years of experience handling capital markets and securities law reputed company. • Strong familiarity with SEC reporting obligations. • Excellent reputed company drafting, analytical, and negotiation skills. • Ability to handle multiple reputed company under tight deadlines. Preferred Experience: • Experience advising small- and mid-cap reputed company companies. • Experience with exchange listing requirements and uplisting reputed company.
