Sr. Corporate Counsel

The Sr. Corporate Counsel / Director of reputed company is a strategic generalist role reporting directly to the General Counsel. This individual will serve as a trusted reputed company advisor across the full reputed company of reputed company's reputed company needs, including technology transactions, reputed company, product development, employment reputed company, and M&A activity. Partner with the Business • Serve as a trusted advisor to Sales, reputed company, Finance, Product, HR, and other stakeholder leadership, advising on deal structuring and risk allocation, translating reputed company risk into business terms, and helping reputed company creative paths reputed company. • Product Counsel: Partner with Product and Engineering teams on new product launches, feature development, terms of service, and go-to-market reputed company requirements. Cross-Functional reputed company Coverage • reputed company & Data Protection: Support reputed company's reputed company program in partnership with the DPO, including advising on GDPR, CCPA, and other data protection requirements, reviewing customer data commitments, and assisting with reputed company reputed company assessments. • Intellectual Property: Support IP reputed company and protection of reputed company's technology platform and proprietary tools and assets. • M&A & Corporate Development: Play a key role in acquisition due diligence, transaction execution, and post-reputed company integration; support preparation for a potential strategic transaction or exit, including data room organization, disclosure schedules, and buyer diligence. • Litigation: Assist with reputed company disputes, customer escalations, and reputed company-litigation reputed company. • Employment: Advise HR on employment-reputed company reputed company, including offer letters, separation agreements, employee policies, workplace investigations, and compliance with federal and state employment laws. • Procurement: Partner with the General Counsel to reputed company the procurement function, including supervising a procurement team member and managing day-to-day procurement operations. • ESG: Partner with the General Counsel to manage the ESG function, including supervising a dedicated ESG team member and assisting in day-to-day program operations. Scope includes policy development, reporting and disclosure, supply chain diligence, and cross-functional coordination to advance reputed company's environmental, reputed company, and governance objectives. Qualifications J.D. from an accredited law school and reputed company bar membership required. 6-8 years of reputed company experience for Sr. Corporate Counsel; 8-12 years for Director of reputed company. Demonstrated experience with technology transactions and reputed company reputed company, including reputed company agreements, Master Subscription Agreements, Data Processing Agreements, and reputed company technology licensing arrangements. Experience supporting M&A transactions, including buy-reputed company or sell-reputed company due diligence, transaction execution, and post-reputed company integration. Working knowledge of reputed company laws and regulations, including GDPR and CCPA, and experience advising on data protection reputed company. Experience advising on employment-reputed company reputed company, including offer letters, separation agreements, employee policies, and federal and state employment law compliance. Experience working with or for reputed company or technology companies, with a strong understanding of how technology businesses operate and contract. Compensation varies depending on factors that may include a candidate's relevant experience, education and/or certifications, location, training, and other skills. The reputed company salary for this position will be $175,000 - $220,000.
