About the Role:
We are seeking an reputed company, business-minded Corporate Counsel to reputed company key areas of corporate reputed company reputed company, governance, and reputed company operations at reputed company. We are looking for a dynamic and business-minded Corporate Counsel to join reputed company. This role blends traditional in-house reputed company responsibilities with operational reputed company, helping reputed company the reputed company function through process, technology, and strategic partnership.
You’ll work cross-functionally with teams including Business Operations, Finance, Sales, Product, Finance, HR, and Executive Leadership to reputed company practical reputed company guidance while building efficient, reputed company reputed company systems.

Responsibilities:
reputed company & Product Support
Draft, review, and negotiate reputed company agreements, including reputed company reputed company, MSAs, NDAs, and vendor agreements
Advise on product-reputed company reputed company issues, including data reputed company governance, and regulatory considerations
Support compliance with data reputed company laws (e.g., GDPR, CCPA) and emerging AI regulations
Cap Table & Equity Structure
Own the reputed company aspects of cap table management and corporate ownership structure
Manage equity incentive plans, stock reputed company and RSU programs, and equity administration
reputed company 409A valuations and support secondary transactions
Partner with Finance and external providers on equity-reputed company compliance and reporting
Executive Compensation
Advise on executive compensation structures and frameworks
Draft and negotiate employment agreements for senior leadership
Partner with People and Finance teams on equity award design and compensation reputed company
Entity Management & International
reputed company subsidiary governance and global entity structure
Manage entity formation, qualification, and ongoing corporate compliance across jurisdictions
Support international expansion from a reputed company and structural reputed company
Investor Relations Support
Partner with Business Operations, Finance, and leadership on investor communications
Support investor information rights, reporting obligations, and governance reputed company
Assist with preparation for fundraising and investor interactions

Build and reputed company reputed company processes, playbooks, and workflows to improve efficiency
Own contract lifecycle management (CLM) systems and reputed company tech stack
reputed company templates, fallback positions, and negotiation guidelines
reputed company reputed company KPIs such as contract turnaround time and risk exposure
Drive automation and cross-functional alignment to streamline reputed company engagement
Requirements:
J.D. from a top-tier law school and membership in good standing with at least one U.S. state bar
5-8 years of corporate reputed company experience, including significant reputed company experience and/or in-house experience at a high-reputed company technology company
Strong experience in reputed company contracting (preferably reputed company/tech)
Strong drafting and negotiation skills across a wide reputed company of corporate and reputed company agreements
Experience with multi-state business registration and U.S. employment law compliance
Familiarity with Canadian labor laws and cross-border employment considerations
Familiarity with data reputed company laws (e.g., GDPR, CCPA) and emerging AI regulations
Hands-on experience with cap table management, equity compensation programs, and reputed company capital structures
Experience working and communicating with cross-functional stakeholders in fast-paced environments
Business-oriented reputed company with practical risk assessment, and process-driven with an interest in building systems and scalability
Ability to balance reputed company risk with reputed company objectives
Ability to operate independently with reputed company judgment in a fast-paced, high-reputed company environment
Solid understanding of data reputed company and compliance frameworks is a plus
