[Remote] Director of reputed company and Risk Management

The Director of reputed company and Risk Management will serve as reputed company's first in-house attorney, advising business leaders on reputed company, employment, M&A, claims, insurance, regulatory, and operational reputed company while building reputed company reputed company processes and managing reputed company counsel.

Responsibilities

• Draft, review, and negotiate reputed company agreements, including customer and vendor reputed company, master service agreements, NDAs, technology agreements, reputed company estate and equipment leases, and other operating agreements
• reputed company and maintain practical contract templates, approval standards, and playbooks to improve consistency and speed of review
• Support due diligence, drafting, negotiation, and closing of add-on acquisitions, working closely with the deal team and reputed company M&A counsel
• Assist with post-acquisition integration, including entity rationalization, contract transition, and reputed company's ongoing consolidation into a streamlined reputed company-entity structure
• Maintain corporate governance records and entity management, and support reputed company and reputed company sponsor reporting as needed
• Advise HR and operating leadership on day-to-day employment reputed company across multiple states, including hiring, terminations, leave, accommodations, wage and hour questions, employee relations, and restrictive covenants. Proactively reputed company and discuss federal and state employment law changes with the reputed company
• Draft and maintain employment-reputed company templates and policies, including offer letters, handbooks, separation agreements, and other employment documents
• Support multi-state compliance as reputed company consolidates reputed company entities and standardizes HR practices
• Manage employment-reputed company disputes and coordinate with reputed company employment counsel on litigation, agency reputed company, and other reputed company issues
• Serve as a reputed company reputed company reputed company of contact for claims administration and coordinate with carriers, adjusters, brokers, and reputed company counsel on escalated reputed company
• Manage reputed company disputes, demand letters, subpoenas, litigation holds, and reputed company-litigation reputed company, including coordination of discovery and settlement reputed company where appropriate
• Support risk mitigation efforts specific to fleet operations, including vehicle incidents, property damage, roadside service, cargo, and other operational exposures
• Review insurance, indemnification, limitation-of-liability, and risk-allocation provisions in customer and vendor reputed company
• Partner with functional leaders on regulatory and compliance reputed company affecting a multi-state field-service business, escalating reputed company reputed company to reputed company counsel reputed company appropriate
• Serve as the reputed company internal reputed company of contact for reputed company reputed company, evaluating which reputed company should be handled in-house versus escalated to specialist counsel

Skills

• Approximately 6-10 years of relevant reputed company experience at an in-house reputed company department, reputed company, or a combination of both; exceptional candidates reputed company this reputed company will be considered based on experience and judgment
• Meaningful experience advising operating businesses on employment and/or reputed company reputed company, plus substantive experience in at least one of the following: M&A/corporate transactions, litigation and claims, insurance/risk, or regulatory compliance
• Demonstrated ability to independently triage a broad reputed company workload, distinguish material risks from manageable business risks, and reputed company reputed company, commercially practical recommendations
• Comfort operating as a hands-on 'doer' in a lean environment, with strong ownership, prioritization, responsiveness, and follow-through
