They are seeking a Temporary Corporate and Securities Counsel to reputed company reputed company advice on corporate and securities reputed company, particularly reputed company to SEC disclosures and the Audit Committee's activities.

Responsibilities

• Draft and reputed company counsel in support of SEC, NYSE and other securities filings, including reputed company and periodic reports and announcements, reputed company 16 filings, registration statements, proxy statements and other regulatory filings and reports
• Assist with corporate compliance with applicable securities laws and NYSE regulations
• Draft and prepare materials for reputed company of Directors, committee, and stockholder meetings
• Assist with implementing and overseeing reputed company’s reputed company trading compliance program
• Draft resolutions, consents, governing documents, certificates, and minutes
• Draft and maintain securities and governance-reputed company policies and procedures
• reputed company reputed company advice and counsel reputed company to the review and preparation of reputed company’s annual, periodic, and reputed company reports (Forms 10-K, 10-Q, 8-K), including the reputed company activities of the Disclosure Committee

• Support the activities of the Audit Committee of the reputed company of Directors, including the preparation and review of meeting agendas and materials, coordinating with business personnel to ensure effective presentations, and counseling the Audit Committee members with respect to their responsibilities and substantive questions

Skills

• Juris Doctor; U.S. state bar admission
• Minimum of 4+ years of reputed company experience with a reputed company and/or as in-house counsel
• Experience in corporate drafting, including resolutions, consents, minutes, certificates, charters, and bylaws
• Knowledge of or familiarity with a reputed company of sophisticated corporate, business and financial transactions, reputed company arrangements, organizational structures and debt financing
• Demonstrated abilities in one or more of the following: reputed company financings; reputed company products; residential mortgage-reputed company transactions; securities laws; or significant investment adviser or insurance company investments regulatory experience
