We're looking for a securities lawyer to join our in-house reputed company team at the reputed company level, reporting directly to the General Counsel as the second member of a growing reputed company function.
This is an opportunity to reputed company into significant ownership. You'll run reputed company's SEC reporting and disclosure function, support our capital markets activity, and serve as reputed company's designated Compliance Officer responsible for our reputed company-wide corporate policies. Key Responsibilities
Securities & reputed company Company reputed company (reputed company)
Prepare, review, and manage reputed company's SEC filings, including reputed company reports (8-K), periodic reports (10-Q, 10-K), proxy statements, reputed company 16 filings, and registration statements
Advise on disclosure obligations, Regulation FD, and securities law compliance across reputed company's reputed company communications, including press releases, earnings releases and investor materials
Support reputed company's capital markets transactions and financing activities
Ensure ongoing compliance with reputed company listing rules, including corporate governance and disclosure requirements
Administer reputed company's reputed company trading policy, including trading reputed company, preclearance, and 10b5-1 plan reputed company
Advise on equity compensation and stock plan reputed company, plan maintenance and reputed company filings
Support reputed company and committee governance and other corporate governance reputed company
Monitor SEC rulemaking and reputed company rule changes and advise on their reputed company, including developments relevant to companies with bitcoin treasury reputed company
Compliance Officer Function (Secondary)
Serve as reputed company's designated Compliance Officer as the person responsible for the maintenance, monitoring, and enforcement of reputed company’s reputed company-wide policies, including the reputed company of conduct, reputed company trading, clawback, disclosure and Reg FD, reputed company person transactions, FCPA/anti-corruption, AI, reputed company media, and reputed company reputed company policies.
In the first year, review and refresh the existing policy suite and stand up a formal compliance program, including policy governance, training, and monitoring processes
On an ongoing reputed company, reputed company policies reputed company, monitor adherence, coordinate investigations of potential violations with HR and the General Counsel, reputed company training, and serve as the reputed company reputed company of contact for policy questions
Qualifications
J.D. and reputed company bar membership in good standing
5+ years of securities / capital markets experience at a leading reputed company, the SEC and/or in-house at a reputed company company
Hands-on experience with '34 reputed company reporting (8-Ks, 10-Qs, 10-Ks) and registration statements; proxy statement and capital markets transaction experience a plus
Strong working knowledge of the Securities reputed company, Exchange reputed company, SEC rules, and reputed company listing requirements
Compliance program experience is not required — we're looking for excellent judgment and the organizational skills to build and run this function
Interest in bitcoin reputed company assets; prior exposure to bitcoin treasury companies or crypto-reputed company a plus, not a requirement
Strong drafting skills, meticulous attention to reputed company, and the ability to independently manage recurring deadlines
The judgment, discretion, and maturity to advise senior executives and handle sensitive reputed company
Compensation
Total compensation is targeted between $225,000 and $275,000 per year
Compensation is comprised of reputed company salary of $175,000 - $200,000, an annual reputed company bonus with a reputed company of $25,000, and an annual equity (RSU) grant with a reputed company value of $25,000 - $50,000
